My TAO Copy

I've writte a sort of copy of TacticsArena in Visual basic. The graphics stink and it can't be played over a modem (both players must be at the same computer), so I don't think it would stand any chance of replacing TAO. I use it to test my formations (playin against myself) and to test new units for CAU.
Would it be legal for me to give copies of this away, and if not may I have permission?
